Terms of Service

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE PLATFORM. By creating an account, clicking "I Agree," starting a free trial, or subscribing to any plan, you agree to be bound by these Terms.
These Terms govern a subscription + usage-based billing relationship. Charges will occur automatically — including during your free trial (for usage), at trial conversion on Day 7, when you purchase credits, and whenever your Auto Top-Up threshold is triggered.
If you do not agree, do not access or use the Platform.
IMPORTANT: These Terms contain a binding arbitration clause and class action waiver in Section 18. There is no refund on subscription fees upon cancellation. Promotional credits have no cash value and expire.
1. Definitions
The following definitions apply throughout this Agreement:

| "Subscriber / You" | Any individual or entity that registers for, activates a trial of, or subscribes to the Platform. |
| "Free Trial" | The 7-day onboarding period beginning on account creation, during which the Subscription Fee is waived. A valid payment method is required. Usage Charges apply during the Free Trial. |
| "Promotional Credit" | The $10.00 in non-cash, non-refundable Platform credits issued to new accounts at registration, redeemable solely for Usage Charges on the Platform. Not real money. Expires if unused at Free Trial end or account cancellation. |
| "Subscription Fee" | The recurring flat fee charged for access to your selected Subscription Plan, billed monthly or annually in advance. |
| "Usage Charge" | A per-minute charge for AI voice call processing, billed at the per-minute rate set by your Subscription Plan. Rounded up to the nearest full minute. |
| "Phone Number Fee" | A monthly recurring fee for each telephony number provisioned through the Platform. |
| "Credit Balance" | The pre-purchased dollar balance in your account used to pay Usage Charges and Phone Number Fees in real time. |
| "Purchased Credits" | Credits added to your Credit Balance via direct purchase (not Promotional Credits). |
| "Auto Top-Up" | An optional feature that automatically charges your payment method to replenish your Credit Balance when it falls below a threshold you define. |
| "Consumed Credits" | Credits that have been applied to completed or in-progress call minutes, phone number fees, or other billable events. Non-refundable once consumed. |
| "Billing Period" | The monthly or annual period for which a Subscription Fee is charged, beginning on the subscription start date or renewal date. |
| "Service Fees" | All amounts owed by Subscriber, including Subscription Fees, Usage Charges, Phone Number Fees, and any applicable taxes. |
2. Acceptance of Terms and Eligibility
2.1 Binding Agreement
By accessing the Platform in any manner — including starting a Free Trial, entering a payment method, or completing checkout — you enter into a legally binding agreement with Company on the terms set forth here. This Agreement is effective on the date you first access the Platform or complete registration, whichever is earlier.
2.2 Authority to Bind an Entity
If you accept these Terms on behalf of a business, you represent that you have full legal authority to bind that entity, and "you" and "Subscriber" refer to that entity throughout.
2.3 Age and Eligibility
You must be at least 18 years of age and legally capable of entering binding contracts. By using the Platform you represent that you meet these requirements.
2.4 Electronic Signature and Records
Clicking "I Agree," completing checkout, or activating a Free Trial constitutes your electronic signature under the E-SIGN Act. You consent to receive all disclosures, agreements, and communications electronically to the email address on your account.
3. Free Trial
Free Trial — Key Facts
Duration: 7 days from account creation
Card required: Yes — a valid payment method must be on file at signup
Subscription Fee: Waived during the trial
Usage Charges: Apply immediately from Day 1
Promotional Credit: $10.00 issued at signup to offset early Usage Charges
Auto-conversion: At Day 7, your selected plan auto-activates and your card is charged the Subscription Fee — no action required
3.1 Trial Period and Conditions
Upon creating an account you receive a 7-day Free Trial. The Subscription Fee for your selected plan is waived during this period. You must provide a valid payment method at signup. The Free Trial is available once per Subscriber; creating duplicate accounts to obtain additional trial periods is prohibited and may result in permanent account termination.
3.2 Usage Charges During the Free Trial
Usage Charges (per-minute fees, Phone Number Fees, and any other consumption-based charges) are active from Day 1 of the Free Trial. The $10.00 Promotional Credit is applied first against these charges. Once the Promotional Credit is exhausted, Usage Charges are drawn from your Credit Balance. If your Credit Balance reaches $0.00 and Auto Top-Up is not enabled or fails, the Platform will pause call processing until your balance is replenished.
3.3 Promotional Credit — $10.00
At account creation, Company issues $10.00 in Promotional Credits to your Credit Balance. Promotional Credits:
- Have no cash value and are not redeemable for money under any circumstances
- May only be applied toward Usage Charges and Phone Number Fees on the Platform
- Are not transferable to another account
- Expire upon cancellation during the Free Trial or upon account closure, whichever is first
- Do not roll over — any unused Promotional Credits at Free Trial conversion are forfeited with no refund or compensation
Promotional Credits are not governed by Stripe's Billing Credits feature and are issued solely as a platform onboarding incentive with no monetary value.
3.4 Auto-Conversion to Paid Subscription
At the end of the 7-day Free Trial, your account automatically converts to a paid subscription on the plan you selected at signup. No additional action is required. Your payment method on file will be charged the full Subscription Fee for the first Billing Period at the time of conversion. By providing your payment method and accepting these Terms at signup, you expressly authorize this charge.
Stripe and applicable card networks require us to notify you of this conversion. You will receive a reminder email no later than 24 hours before Day 7. The cancellation URL will be included in that email and is available in your account dashboard at all times.
3.5 Cancellation During the Free Trial
You may cancel during the Free Trial at any time before Day 7. If you cancel:
- The Subscription Fee will not be charged
- Any Promotional Credits remaining in your balance expire immediately with no refund
- Any Usage Charges incurred during the trial that exceeded the Promotional Credit balance remain due and will be collected from your payment method on file
- Purchased Credits (if any were added manually during the trial) are subject to the refund policy in Section 7.4
4. Subscription Plans and Fees
4.1 Plan Selection
At registration you select a Subscription Plan. Plans are offered on a monthly or annual billing cycle. Plan details, features, and pricing are published on the Platform pricing page, which is incorporated into this Agreement by reference. Company may update plan pricing upon 30 days' prior written notice.
4.2 Monthly Plans
Monthly Subscription Fees are charged in advance on the same date each month (the "Monthly Renewal Date"). Your card is charged automatically on each Monthly Renewal Date without further notice or action from you.
4.3 Annual Plans
Annual Subscription Fees are charged in full in advance on the subscription start date and on each anniversary thereof. Annual plans are billed as a single lump-sum charge covering 12 months of Platform access. The per-month cost of an annual plan is lower than the equivalent monthly plan; that discount reflects the full-year commitment and is the basis for the no-refund policy described in Section 7.
4.4 Plan Changes
Upgrades take effect immediately. The Subscription Fee difference is charged on a pro-rated basis for the remaining days in the current Billing Period. Downgrades take effect at the start of the next Billing Period. Changing plans does not entitle Subscriber to a refund of any portion of the current Billing Period's Subscription Fee.
4.5 Payment Authorization for Subscription Fees
By completing checkout and accepting these Terms, you provide a standing authorization for Company to charge your payment method:
- The full Subscription Fee at Free Trial conversion (Day 7)
- The full Subscription Fee on each Monthly Renewal Date (monthly plans) or annual anniversary (annual plans)
- Any applicable taxes or regulatory surcharges
This authorization remains in effect until you cancel your subscription in accordance with Section 8.
5. Usage-Based Billing
How Usage Billing Works
Your account maintains a Credit Balance. Usage Charges and Phone Number Fees are deducted from your Credit Balance in real time as they are incurred. Your Credit Balance is not part of your Subscription Fee — it is a separate pre-funded balance you control.
Credits must be in your account for calls to proceed. If your balance reaches $0.00 and Auto Top-Up is disabled or fails, call processing pauses automatically.
5.1 Per-Minute Usage Charges
AI voice call processing is billed on a per-minute basis. Key billing rules:
- Calls are billed in one-minute increments, rounded up to the nearest full minute (e.g., a 61-second call is billed as 2 minutes)
- The per-minute rate for your account is determined by your Subscription Plan tier. Higher-tier plans carry a lower per-minute rate
- Your per-minute rate is displayed in your account dashboard and on the Platform pricing page
- Usage Charges are deducted from your Credit Balance in real time upon call completion
- Calls that are connected and answered consume billable minutes regardless of call outcome, agent script performance, or lead quality
5.2 Phone Number Fees
Each telephone number provisioned through the Platform is subject to a monthly recurring Phone Number Fee. Key billing rules:
- Phone Number Fees are charged monthly and deducted from your Credit Balance
- Fees apply for the full calendar month in which a number is provisioned, regardless of when in the month it was activated
- Releasing (de-provisioning) a number stops future monthly fees but does not generate a refund for the current month
- Phone Number Fee rates are displayed in the Platform dashboard and may vary by number type
5.3 Credit Balance — Purchasing Credits
You may add funds to your Credit Balance at any time by purchasing Purchased Credits through the Platform dashboard. Purchased Credits:
- Are denominated in US dollars and applied at face value to Usage Charges and Phone Number Fees
- Do not expire while your account is active
- Are not transferable to another account
- Are subject to the refund policy in Section 7.4
Purchased Credits are not FDIC-insured, do not earn interest, and do not constitute a deposit. They are a pre-payment for Platform services only.
5.4 Auto Top-Up
AUTO TOP-UP AUTHORIZATION — If you enable Auto Top-Up, you are providing a standing authorization for Company to automatically charge your payment method each time your Credit Balance falls below your selected threshold. These charges occur without additional notice or confirmation at the time of the charge. You control the threshold and top-up amount. You can disable Auto Top-Up at any time in your account settings.
Auto Top-Up is an optional feature available in your account dashboard. When enabled:
- You set a Low Balance Threshold — the Credit Balance level that triggers a top-up
- You set a Top-Up Amount — the dollar amount added to your Credit Balance each time a top-up fires
- Each time your Credit Balance falls below your Low Balance Threshold, your payment method on file is automatically charged your Top-Up Amount
- Multiple top-ups may occur within a single day if usage is high and your balance repeatedly falls below the threshold
- By enabling Auto Top-Up and setting your threshold and amount, you provide a standing authorization for all charges triggered by this feature
- Top-Up charges that have been processed and applied to your Credit Balance are not refundable, even if the resulting credits are partially unused
You may modify or disable Auto Top-Up at any time in Account Settings. Changes take effect immediately for future triggers. Disabling Auto Top-Up does not reverse any charges that have already been processed.
5.5 Low Balance — Service Pause
If your Credit Balance reaches $0.00 and Auto Top-Up is disabled or fails to process, the Platform will automatically pause outbound call processing. Inbound call handling may also be suspended. Your subscription remains active during a balance pause; the Subscription Fee continues to be charged on its normal schedule. Service resumes automatically once your Credit Balance is replenished.
5.6 Real-Time Usage Logs
All usage events — call initiation, call duration, credit deductions, Phone Number Fee charges, and Auto Top-Up triggers — are logged in real time and visible in your account dashboard. These logs are maintained for a minimum of 3 years and constitute the definitive record of billable events for purposes of any billing inquiry or dispute.
6. Auto-Renewal and Cancellation
YOUR SUBSCRIPTION RENEWS AUTOMATICALLY. Unless you cancel before the end of your current Billing Period, your payment method will be charged the Subscription Fee for the next Billing Period automatically. CANCELLATION IS IMMEDIATE AND NON-REFUNDABLE. When you cancel, your account is terminated immediately. You do not retain access through the end of the Billing Period. No refund is issued for the current Billing Period's Subscription Fee, whether monthly or annual.
6.1 Automatic Renewal Authorization
All Subscription Plans renew automatically at the end of each Billing Period unless cancelled. By accepting these Terms you provide a standing authorization for automatic renewal charges at the then-current Subscription Fee for your plan.
Renewal reminders will be sent to your email address on file: no fewer than 7 days before a monthly renewal, and no fewer than 30 days before an annual renewal. Failure to receive a reminder due to an outdated email address, spam filtering, or other reason does not constitute grounds for reversal of a renewal charge.
6.2 Cancellation Procedure
You may cancel your subscription at any time by:
- Navigating to Account Settings in the Platform dashboard and selecting Cancel Subscription, or
- Sending a written cancellation request to support@revsquaredai.com with the subject line: "Cancellation — [Your Account Name]"
Email cancellation requests are confirmed within 2 business days. Cancellations submitted via the dashboard are effective immediately upon confirmation.
6.3 Effect of Cancellation — Immediate Termination
Cancellation takes effect immediately upon processing. There is no grace period, no access through the end of a billing cycle, and no pro-rata refund. Upon cancellation:
- Platform access is terminated immediately
- All active phone numbers are released
- All AI agents are deactivated
- Any remaining Credit Balance (Purchased Credits) is subject to the refund policy in Section 7.4
- Promotional Credits expire immediately with no compensation
- Account data is retained for 90 days following cancellation, after which it may be permanently deleted
Subscriber is responsible for exporting all data before cancellation. Company is not liable for data loss following account termination.
6.4 Reactivation
A cancelled account may be reactivated by subscribing again at then-current pricing. Company does not guarantee that prior account data, phone numbers, or agent configurations will be available upon reactivation.
7. Refund Policy

7.1 No Refund on Subscription Fees
Subscription Fees are earned by Company in full at the start of each Billing Period. Platform access is provided immediately upon charge. Cancellation terminates access immediately but does not entitle Subscriber to any refund of the Subscription Fee for the current or any prior Billing Period. This applies to both monthly and annual plans.
Dissatisfaction with call conversion rates, agent performance, lead quality, or business outcomes is not a basis for a refund. These outcomes depend on factors outside Company's control.
7.2 No Refund on Consumed Credits
Credits that have been applied to billable events (per-minute call charges, Phone Number Fees, or any other consumption event) are non-refundable under any circumstances. Once computing and telephony resources have been committed to process a billable event, those costs are incurred and cannot be recovered.
7.3 Auto Top-Up Charges
A Top-Up charge that has been successfully processed and applied to your Credit Balance is non-refundable, even if the resulting credits are partially or fully unused at the time of cancellation. To prevent unwanted Top-Up charges, disable Auto Top-Up in Account Settings before your balance approaches the threshold.
7.4 Purchased Credits — Discretionary Refund
Refunds of unused Purchased Credits are not guaranteed. Company reviews refund requests for unused Purchased Credits on a case-by-case basis, at Company's sole discretion. Factors considered may include account history, reason for cancellation, and time since purchase. To request a review, contact legal@revsquaredai.com with your account details and reason for the request. Company will respond within 10 business days. Denial of a refund request is final.
Purchased Credits are not refundable if: (a) the account was terminated for breach of these Terms; (b) a chargeback was initiated by Subscriber; or (c) Company determines in good faith that the credits were obtained or used in violation of these Terms.
7.5 Billing Errors
If you believe you have been charged in error, you must notify Company in writing at legal@revsquaredai.com within 30 days of the disputed charge. Company will investigate and, if an error is confirmed, issue a correction to your Credit Balance or a refund as appropriate. Failure to report a billing error within 30 days constitutes a waiver of any claim related to that charge.
8. Payment Processing
8.1 Payment Processor
Company uses Stripe, Inc. as its payment processor. By providing payment information, you agree to Stripe's Terms of Service and Privacy Policy. Company does not store full payment card numbers on its own servers. All card data is tokenized and managed by Stripe.
8.2 Payment Method on File
You must maintain a valid payment method on file at all times. You are responsible for ensuring your billing address, card number, and expiration date are current. Company may suspend Platform access if a scheduled charge fails.
8.3 Summary of Automatic Charge Events
By accepting these Terms and providing a payment method, you authorize the following automatic charges, each of which may occur without additional notice at the time of the charge:

8.4 Billing Descriptor
Charges will appear on your statement as "REVSQUARED AI" or "LEAD LABS PLUS LLC." If you see a charge you do not recognize, contact support@revsquaredai.com before initiating any dispute with your bank. Our support team will clarify any charge within 1 business day.
8.5 Failed Payments
If a scheduled Subscription Fee charge fails, Company will retry up to 3 times over 7 days. If payment is not collected after 3 attempts, Platform access will be suspended. Subscriber remains liable for all outstanding amounts during suspension.
8.6 Taxes
All fees are exclusive of applicable taxes. Subscriber is responsible for all sales, use, excise, and similar taxes imposed on the transactions described in this Agreement.
9. Chargebacks and Payment Disputes
READ THIS BEFORE CONTACTING YOUR BANK — Company maintains timestamped logs of every billable event, IP-captured authorization records for every charge type, email confirmation records, and signed acceptance of these Terms. Initiating a chargeback without first contacting Company is a breach of this Agreement. To resolve a billing concern quickly: support@revsquaredai.com
9.1 Mandatory Pre-Dispute Contact
Before initiating any chargeback, payment reversal, or dispute with a bank, card network, or financial institution, Subscriber agrees to: (a) contact Company at support@revsquaredai.com; (b) describe the charge in question and the reason for concern; and (c) allow Company 10 business days to investigate and respond. Bypassing this process is a material breach of this Agreement.
9.2 Documented Authorization for Every Charge Type
Subscriber acknowledges that each charge type listed in Section 8.3 is covered by an explicit authorization captured at a specific point in the onboarding and account management flow:
- Trial conversion charge: Authorized by providing a payment method and accepting these Terms at signup, with reminder email delivered prior to Day 7
- Monthly/Annual renewal: Authorized by Section 4.5 standing authorization and Stripe's stored payment method
- Auto Top-Up: Authorized by enabling the feature and setting threshold and amount in Account Settings, with the authorization captured and logged by Stripe
- Credit purchases: Authorized by individual purchase transactions in the dashboard
- Usage Charges and Phone Number Fees: Authorized by Section 5 usage billing consent at signup
9.3 Chargeback Consequences
If Subscriber initiates a chargeback without completing the mandatory pre-dispute process, or initiates a chargeback that Company determines is not supported by the facts:
- Company will contest the chargeback with all available evidence including usage logs, authorization records, IP data, email confirmations, and these Terms
- Subscriber's account will be immediately suspended pending resolution
- A chargeback processing fee of $50 per disputed transaction will be assessed
- Company reserves the right to pursue collection and legal remedies for all disputed amounts plus associated costs and fees
- Subscriber's account may be permanently terminated at Company's discretion
- Subscriber may be reported to applicable fraud prevention databases
9.4 Evidence Company Maintains
For every account, Company preserves the following for a minimum of 3 years:
- IP address, device fingerprint, and timestamp of Terms acceptance and payment authorization
- Checkout records showing plan selection, pricing, trial terms, and auto-renewal disclosure presented to Subscriber
- Email delivery records for trial reminders, renewal notices, and receipts
- Real-time usage logs for every call, minute billed, phone number charged, and Auto Top-Up event
- Stripe payment records including authorization codes and card metadata
9.5 Legitimate Billing Errors
Company will correct genuine billing errors promptly under Section 7.5. Subscribers with a documented billing error do not need to initiate a chargeback — contact us and it will be resolved faster.
10. Platform Description and Scope
10.1 Services Provided
RevSquared AI provides AI-powered voice and communication automation tools for businesses, including outbound and inbound AI voice agents, SMS automation, CRM integration, call recording, transcription, analytics, and agent performance reporting.
10.2 No Guarantee of Business Outcomes
Company does not guarantee any specific call answer rates, conversion rates, appointment volumes, revenue results, or other business outcomes. Platform performance depends on factors outside Company's control including market conditions, contact list quality, call timing, and Subscriber's own business practices. Dissatisfaction with outcomes is not a basis for a refund or dispute.
10.3 Third-Party Dependencies
The Platform depends on third-party telephony providers, large language model providers, and other infrastructure. Company is not liable for degradation or interruptions caused by these third parties, provided Company has exercised reasonable diligence in managing such providers.
10.4 Subscriber Compliance Responsibility
Subscriber is solely responsible for ensuring all calling campaigns comply with applicable law, including the Telephone Consumer Protection Act (TCPA), state telemarketing laws, Do Not Call registry requirements, and the CAN-SPAM Act. Company provides tools; Subscriber directs their use and bears all compliance responsibility.
11. Acceptable Use Policy
11.1 Permitted Use
Subscriber may use the Platform solely for lawful B2B or B2C communication purposes including outbound sales outreach, appointment setting, customer follow-up, and inbound call handling, subject to full compliance with applicable law.
11.2 Prohibited Uses
Subscriber must not use the Platform for:
- Any purpose violating the TCPA, state telemarketing laws, or Do Not Call requirements
- Contacting individuals without legally required prior express written consent
- Harassment, threats, or abusive communications
- Fraudulent, deceptive, or misleading communications
- Reverse-engineering, scraping, or extracting Platform source code or AI models
- Reselling or sublicensing Platform access without Company's prior written consent
- Any use that could damage Company's relationships with telephony or LLM providers
11.3 Suspension for Prohibited Use
Company may immediately suspend any account it reasonably believes is engaged in prohibited use. Written notice of the suspension reason will be provided, along with an opportunity to cure within 5 business days where feasible.
12. Intellectual Property
12.1 Platform Ownership
All right, title, and interest in the RevSquared AI Platform — including software, AI models, agent frameworks, prompting architectures, interfaces, documentation, and all enhancements — are and remain the exclusive property of Lead Labs Plus LLC. Nothing in this Agreement transfers any ownership interest to Subscriber.
12.2 License Grant
Company grants Subscriber a limited, non-exclusive, non-transferable, revocable license to access and use the Platform during the active Subscription Period solely for Subscriber's internal business purposes, subject to compliance with this Agreement and payment of all Service Fees.
12.3 Subscriber Data
Subscriber retains ownership of all contact data, CRM records, and content uploaded to the Platform. Subscriber grants Company a limited license to process that data solely to provide Platform services. Company does not sell Subscriber data.
13. Service Level and Availability
13.1 Target Uptime
Company targets 99.5% monthly Platform uptime, excluding scheduled maintenance, force majeure events, and downtime attributable to third-party providers. Company does not guarantee uninterrupted service.
13.2 Credit for Downtime
If Platform uptime attributable solely to Company's own infrastructure falls below 99.5% in a calendar month, Subscriber may request a pro-rated service credit for the affected period. Requests must be submitted in writing within 30 days. This credit is Subscriber's sole and exclusive remedy for service unavailability.
13.3 No Guarantee of Call Outcomes
Platform availability does not guarantee successful call connections, answer rates, or productive outcomes. Those results depend on external factors beyond Company's control.
14. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, COMPANY DISCLAIMS ALL WARRANTIES — EXPRESS, IMPLIED, OR STATUTORY — INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. COMPANY DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE.
15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, COMPANY IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR BUSINESS INTERRUPTION.
COMPANY'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY SUBSCRIBER DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
This cap applies regardless of the legal theory (contract, tort, strict liability, or otherwise).
16. Indemnification
Subscriber agrees to defend, indemnify, and hold harmless Company, its affiliates, officers, directors, employees, and agents from all claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from:
- Subscriber's use of the Platform in violation of this Agreement or applicable law
- Subscriber's calling campaigns, contact lists, or communications processed through the Platform
- Any regulatory investigation, fine, or TCPA penalty arising from Subscriber's use of the Platform
- Subscriber's breach of any representation or obligation under this Agreement
17. Term and Termination
17.1 Term
This Agreement begins on the date Subscriber first accesses the Platform and continues until terminated.
17.2 Termination by Company
Company may terminate or suspend access immediately upon written notice if:
- Subscriber fails to pay Service Fees and does not cure within 5 business days of notice
- Subscriber materially breaches this Agreement and fails to cure within 10 days (or breach is incapable of cure)
- Subscriber initiates a fraudulent or unsupported chargeback
- Subscriber's use creates legal, regulatory, or reputational risk to Company
17.3 Effect of Termination
Upon termination: (a) all licenses terminate immediately; (b) Subscriber must cease use; (c) all outstanding Service Fees become immediately due; (d) Sections 7, 9, 12, 14, 15, 16, 18, and 19 survive indefinitely.
18. Dispute Resolution — Binding Arbitration
ARBITRATION AND CLASS ACTION WAIVER — This section requires you to resolve disputes with Company through individual binding arbitration. You are waiving your right to a jury trial and your ability to participate in a class action. To opt out, send written notice to legal@revsquaredai.com within 30 days of first accepting these Terms.
18.1 Pre-Arbitration Notice
Before initiating arbitration, the complaining party must send a written Notice of Dispute describing: (a) the nature and factual basis of the claim; (b) the specific relief sought; and (c) contact information. The parties agree to negotiate in good faith for 30 days after receipt before commencing arbitration.
18.2 Binding Arbitration
Any dispute not resolved through pre-arbitration negotiation shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, by a single arbitrator. The arbitrator's decision is final and may be entered as a judgment in any court of competent jurisdiction.
18.3 Location and Governing Law
Arbitration shall be conducted in Orange County, Florida, or by videoconference if both parties agree. Florida law governs this Agreement and all disputes without regard to conflict of law principles.
18.4 Class Action Waiver
ALL CLAIMS MUST BE BROUGHT IN SUBSCRIBER'S INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims of more than one person.
18.5 Small Claims and Injunctive Relief
Either party may bring an individual claim in small claims court. Either party may seek emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
19. General Provisions
19.1 Entire Agreement
This Agreement constitutes the entire agreement between the parties regarding the Platform and supersedes all prior negotiations and representations.
19.2 Severability
If any provision is found invalid, it will be modified to the minimum extent necessary to make it enforceable; remaining provisions continue in full force.
19.3 No Waiver
Failure to enforce any provision does not waive the right to enforce it in the future.
19.4 Assignment
Subscriber may not assign this Agreement without Company's written consent. Company may assign in connection with a merger, acquisition, or asset sale.
19.5 Force Majeure
Company is not liable for delays or failures caused by circumstances beyond its reasonable control, including acts of God, government actions, internet outages, or third-party platform failures.
19.6 Modifications
Company may update these Terms at any time with 30 days' notice via email. Continued use after the effective date of any modification constitutes acceptance. The current version is always available at https://revsquaredai.com/terms.

Notices to Company: legal@revsquaredai.com. Notices to Subscriber: email address on file in account. Effective upon sending.

21. Subscriber Acknowledgment
BY USING THE PLATFORM, STARTING A FREE TRIAL, OR SUBSCRIBING TO ANY PLAN, SUBSCRIBER CONFIRMS THEY HAVE READ AND UNDERSTOOD:
- The Free Trial auto-converts to a paid subscription on Day 7 with no action required (Section 3.4).
- Usage Charges apply during the Free Trial from Day 1 (Section 3.2).
- The $10.00 Promotional Credit has no cash value, expires, and is non-refundable (Section 3.3).
- Auto Top-Up will automatically charge the payment method on file whenever the Credit Balance drops below the set threshold (Section 5.4).
- Cancellation is immediate with no refund of Subscription Fees — monthly or annual (Section 6.3).
- Purchased Credits are refundable only at Company's sole discretion (Section 7.4).
- A chargeback initiated without first contacting Company is a breach of this Agreement (Section 9.1).
- All disputes are subject to binding arbitration with a class action waiver (Section 18).
